TERMS AND CONDITIONS
- The Auctioneer shall have the right to control, regulate and control the auction.
- The auction will be recorded. The recording shall not be available to the public or the Purchaser but the auctioneer shall make the recording available should it be required to do so by an order of court or by law. The recordings shall be prima facie (rebuttable/ challengeable) proof of the auction proceedings.
- Each item is sold at the auction as a lot/individual item. The auctioneer may, without penalty or prior notice and only if the seller/owner/lawful holder (“Seller”) of any individual lot or items, or a group or parcel of assets (such group or parcel of assets hereafter called “lots”), in writing permits the auctioneer to do so, will the auctioneer be entitled to withdraw any item or lots from the auction (such item or lots hereafter called the “goods”). The goods may constitute a lot or parcel of goods which are sold as a lot or parcel and purchased by the Purchaser, subject to these terms and conditions, as a lot or parcel.
- In respect of any goods, the highest accepted bidder therefore shall be the purchaser of such goods (“Purchaser”).
- In the event of a dispute as to the identity of the highest bidder, the auctioneer may re-auction the goods concerned.
- These terms and conditions or any special conditions pertaining to each auction and/or to any goods shall be announced prior to the commencement of the auction.
- The Purchaser shall be bound by all of the terms and conditions announced. On the fall of the hammer at the auction for the goods purchased by the Purchaser, a sale for the goods shall be finally and irrevocably concluded, subject only to such suppressive conditions as may be applicable to any goods.
- Risk in and to the goods shall pass to the Purchaser on the fall of the hammer.
- The Purchaser acknowledges that he/she/it has inspected the goods, noted the condition and state thereof, and is satisfied with the goods.
- The goods are sold subject to the condition report/inspection report furnished for the goods (for the auction) or in a document appended to or alongside the goods.
- The auctioneer is only aware of the condition and state of the goods as they are, and as disclosed by the auctioneer. The auctioneer does not have any other knowledge of the goods and the state and condition thereof. Accordingly, the goods are sold in the condition and state that they are in and the Purchaser purchases the goods in accordance therewith. The auctioneer shall not be liable for any condition or state of any of the goods of which the auctioneer is unaware or cannot reasonable have knowledge.
- Neither the Seller of the goods, nor the auctioneer give any warranties or guarantees or make any representations in regard to the condition or state of any of the goods, save for the representation that appears on the condition report/inspection report for the goods concerned and, save for such condition report/inspection report, the auctioneer is not responsible for any errors of description of any of the goods.
- All bids made at the auction are deemed to exclude VAT and buyer’s premium.
- The Purchaser shall not be entitled to take delivery of the goods until payment of the full purchase price has been made to the auctioneer and the Purchaser is in possession of an invoice from the auctioneer stating that the Purchaser has paid the purchase price (such invoice hereafter called the “paid invoice”).
- In the case of motor vehicles or other items requiring the completion and delivery of documents by the Seller or any third party, the auctioneer shall not be obliged to deliver such goods to the Purchaser until the relevant documentation, duly completed and signed, has been delivered to the auctioneer. The Purchaser agrees that all fees, charges and the buyer’s premium shall be paid to the auctioneer immediately after the fall of the hammer even though the goods have not been or may not be delivered to the Purchaser. Delivery of the goods shall be deemed to have been made to the Purchaser upon delivery to the Purchaser of the paid invoice, alternatively upon delivery of an element of the goods or by which the goods can be identified (such as keys).
- The Purchaser agrees that as the goods will not actually be physically delivered to the Purchaser’s address or any address nominated by the Purchaser, the Purchaser shall be responsible for all of the costs of delivery.
- The Purchaser shall remove the goods from the auctioneer ’s premises within the period announced by the auctioneer at the relevant auction.
- The Purchaser shall not be entitled to cancel the sale as a result of timeous non-delivery of the goods or on non-signature of the required documents. The auctioneer shall be entitled, without penalty, to cancel the sale should the required documents of or relating to the goods not be signed and delivered to The auctioneer within 21 days of the date of the auction; the Purchaser must look to the Seller for any damages that the Purchaser may have suffered due to such non-delivery or non-signature.
- After the fall of the hammer, the Purchaser shall bear the risk in and to the goods even if the goods continue to remain at The auctioneer’s premises, in particular for any shortages or damage which may occur, and the Purchaser shall be liable to pay storage fees to the auctioneer if the goods remain on the auctioneer’s premises. The storage fees will be available in written form, in the form of a notice affixed in a prominent place at the venue of the auction, alternatively will be otherwise notified to the Purchaser.
- In the event the Purchaser failing to pay the full purchase price of the goods (“sale price”) immediately on the day of the auction or on or before the applicable time (as per the relevant announcement by the auctioneer), failing to remove the goods and/or otherwise failing to comply with any of these terms and conditions, then any amounts paid to the auctioneer by the Purchaser (whether as fees, costs and/or buyer’s premiums) shall be irrevocably forfeited to the auctioneer, and any deposit paid by the Purchaser to the auctioneer for the goods shall be irrevocably forfeited to the Seller (such deposit to and shall be deemed to be genuine pre-estimated (and liquidated) damages that the Seller may suffer and the forfeiture of the deposit shall be payment or part payment of such damages. The Seller shall be entitled to re-sell or re-auction such goods without notice to the Purchaser.
- The auctioneer shall have a lien over the goods for any amounts due and payable by the Purchaser to the auctioneer.
- Should the auctioneer re-sell/re-auction such goods and should the net proceeds thereof (after deducting commission, fees, costs and buyer’s premium payable to the auctioneer) be less than the sale price, then the Purchaser shall immediately upon demand pay to the auctioneer as pre-estimated, liquidated, damages, such difference, less any amounts forfeited.
- The auctioneer shall not be liable to the Purchaser for any losses or damages suffered by the Purchaser as a result of the termination of the sale by the Seller or any failure to deliver the goods attributable to the Seller.
- Save for any announcement by the auctioneer in respect of the goods prior to the bidding therefore, no variations or amendments hereto shall be of any force and effect unless reduced to writing and signed by the Purchaser and the auctioneer. No indulgence which the Seller and/or the auctioneer may grant to the Purchaser shall prejudice, or constitute a waiver of, the rights of the Seller and the auctioneer, who shall not thereby be precluded from exercising any rights against the Purchaser which may have arisen in the past or may arise in the future.
- The Purchaser confirms and acknowledges that when he/she/it viewed the motor vehicles concerned, all of the particulars of and relating to the motor vehicle (including the name and business address of the auctioneer, a notice that there is no liability or duty on the auctioneer/auction house/bank/financial entity/Seller to repair, the motor vehicle’s year of manufacture, year of first registration, manufacturer, model designation, registration number, engine number, VIN number, odometer reading and that the odometer reading is not guaranteed) were affixed to the motor vehicle in document form or otherwise available in writing at or by the motor vehicle.
- The Purchaser chooses as domicilium citandi et executandi (the address of delivery for all purposes arising from these terms and conditions), the physical address of the Purchaser reflected above or on the reverse side hereof or reflected in any document signed or handed by the Purchaser to the auctioneer or the Seller in connection with the goods and/or the auction concerned.
- The Purchaser consents to the jurisdiction of the Magistrate’s Court, but agrees that the Seller and/or the auctioneer shall be entitled to institute proceedings in the High Court. In the event that any legal steps are taken against the Purchaser, the Purchaser agrees to pay all of the legal costs (on the attorney and own client scale) of the auctioneer and/or the Seller and which is paid and/or may be payable to the auctioneer’s/the Seller’s attorneys (by agreement or otherwise), alternatively, where there is no such agreement, on the attorney and own client scale as per the tariff of the relevant Court involved.
- The Purchaser and surety (if applicable) hereby cede(s), assign(s), transfer(s) and make/makes over unto and in favour of the auctioneer the Purchaser’s and surety’s rights, title and interest to all his/her/its immovable property registered in his/her/its name and any movable property owned by him/her/it or to which him/her/it is entitled, such as is sufficient to satisfy his/her/its indebtedness to the auctioneer. The Purchaser and surety (if applicable) agree(s) that all such immoveable and/or movable property shall be specially executable by, at the instance of and in the favor of the auctioneer. Any term and condition above is severable from the remaining terms and conditions, which remaining terms and conditions shall continue to apply and be effective.
- The Purchaser is the purchaser of the goods at the auction or who has otherwise purchased the goods from the auctioneer. The buyer’s premium, payable to the auctioneer means, in terms of the norms of the international auctioneering industry a percentage of the purchase price of the goods, which percentage will be available in written form, in the form of a notice affixed in a prominent place at the venue of the auction, alternatively will be otherwise notified to the Purchaser. The buyer’s premium shall be paid to the auctioneer on the date of the auction.
- The Purchaser and Surety confirm and agree that there is no duty to repair the goods on the part of the auctioneer / auction house / seller.
- SURETY
The signatory to this agreement/these terms and conditions binds himself/herself/itself as surety and co-principal debtor together with the company, close corporation, trust, partnership, association or any other person or entity reflected on the face of the terms and conditions or set forth more fully above as the seller (“the principal debtor”) for the due fulfillment and payment by the principal debtor of all the principal debtor’s obligations and liabilities due and/or owed by the principal debtor to the seller and/or the auctioneer arising out of the sale of any goods to the principal debtor at the auction contemplated above or otherwise sold by the auctioneer on behalf of the seller.
TERME EN VOORWAARDES
- Die Afslaer het die reg om te veiling na sy goeddunke te beheer en te reguleer.
- Die veilingverrigtinge sal per band opgeneem word welke opname nie aan die publiek of die Koper beskikbaar sal wees nie, maar sal die Afslaer verplig wees om dit beskikbaar te stel indien sodanig beveel deur ‘n hof. Die opname sal prima facie (weerlegbare) bewys wees van die veilingverrigtinge.
- Alle goedere verkoop tydens die veiling sal as ‘n lot of individuele item verkoop word. Die Afslaer mag sonder benadeling of voorafkennis, skriftelik indien daartoe aangesê deur die Verkoper /eienaar/wettige houer (“Verkoper”) van enige van die individuele items of lotte of ‘n groep of bondel bates (sodanige groep of bondel lotte hierna “lotte” genoem) sodanige item of lotte van die veling
- Die bieder wat die hoogste aanvaarde bod gemaak het ten opsigte van enige goedere sal geag word die Koper van sodanige goedere te wees.
- Ingeval van ‘n dispuut rakende die identiteit van die hoogste bieër mag die Afslaer die tersaaklike goedere heropveil.
- Hierdie terme en voorwaardes asook enige spesiale voorwaardes wat van toepassing mag wees op ‘n spesifieke veiling en/of goedere sal aangekondig word voor die veiling ‘n aanvang neem.
- Die Koper sal gebonde wees aan al die terme en voorwaardes soos aangekondig. Met die val van die hamer sal ‘n finale en onherroeplike koop tot stand kom ten opsigte van die goedere gekoop deur die onderskeie Kopers maar onderhewig aan enige sodanige opskortende voorwaarde as wat van toepassing mag wees op die tersaaklike goed.
- Die risiko in en op die goedere sal oorgaan op die Koper met die val van die hamer.
- Die Koper erken dat hy die goedere geïnspekteer het en kennis geneem het van die toestand daarvan en dat hy daarmee tevrede is.
- Die goedere word verkoop onderhewig aan die inspeksieverslag wat die toestand van die goedere uiteensit en wat saamgestel is vir doeleindes van die veiling of vervat is in ‘n dokument wat aangeheg is aan of by die goedere.
- Die Afslaer dra alleenlik kennis van die toestand van die goedere soos wat geopenbaar is. Die afslaer dra nie enige verdere kennis anders as soos hierin uiteengesit nie. Gevolglik word die goedere verkoop in die toestand soos wat dit is en die Koper koop die goedere in sodanige toestand. Die Afslaer is nie verantwoordelik vir enige gebreke wat nie ooglopend of deur uitoefening van redelike sorg vasgestel kan word nie.
- Nóg die Verkoper nóg die Afslaer gee enige waarborge of maak enige voorstellings rakende die toestand of geskiktheid van die goedere behalwe soos vervat in die inspeksieverslag hierbo vermeld en is die afslaer ook nie verantwoordelik vir enige foute wat moontlik gemaak is rakende die beskrywing van die goedere nie.
- Alle transaksies op die veiling sluit BTW uit.
- Die Koper sal nie geregtig wees om besit van die goedere te neem alvorens die koopprys nie ten volle betaal is aan die Afslaer nie en vir doeleindes waarvan die Koper in besit moet wees van ‘n faktuur uitgereik deur die Afslaer wat bevestig dat die Koper die koopprys ten volle betaal het.
- Ingeval van die verkoping van motorvoertuie of enige ander items wat die voltooiing en lewering van dokumente deur die Verkoper of enige derde party vereis, sal die Afslaer nie verplig wees om sodanige goedere aan die Koper te lewer nie alvorens die relevante dokumentasie behoorlik voltooi en onderteken aan die Afslaer gelewer is nie. Die Koper stem daartoe toe dat alle fooie, heffings en uitgawes aan die Afslaer betaal sal word onmiddellik na die val die hamer alhoewel die goedere moontlik nog nie aan die Koper gelewer mag word nie. Lewering van die goedere sal geag word plaasgevind het sodra die betaalde faktuur aan, die Koper verskaf word, alternatiewelik met lewering van ‘n item waardeur die goedere geïdentifiseer kan word soos byvoorbeeld die sleutels van ‘n motorvoertuig.
- Die Koper stem toe dat synde dat die goedere nie fisies aan hom gelewer sal word by sy gekose adres of enige adres deur hom genomineer nie, hy as Koper verantwoordelik sal wees vir betaling van alle koste verbonde aan die aflewering van die goedere.
- Die Koper sal die goedere van die Afslaer se perseel verwyder binne sodanige periode as wat die Afslaer mag bepaal vir die tersaaklike veiling.
- Die Koper sal nie geregtig wees om die koop te kanselleer as gevolg van die nie-in-tyd lewering van die goedere of nie-ondertekening van die vereiste dokumentasie nie. Die Afslaer sal geregtig wees sonder enige benadeling om die koop te kanselleer ingeval die vereiste dokumente met betrekking tot die goedere nie geteken en gelewer word aan die Afslaer binne 21 dae na datum van die veiling nie. Die Koper sal alleenlik ‘n eis, indien enige, hê teen die Verkoper vir enige skade wat die Koper mag gelei het as gevolg van sodanige nie-lewering of nie-ondertekening.
- Met die val die hamer sal die risiko in en op die goedere op die Koper oorgaan selfs ingeval die goedere op die Afslaer se perseel agterbly in besonder ten opsigte van enige tekort of skade wat mag intree en sal die Koper verder verantwoordelik wees teenoor die Afslaer vir betaling van stoorgelde vir solank as wat die goedere op die Afslaer se perseel agterbly. Die bedrag van die stoorkoste sal beskikbaar gemaak word in skriftelike vorm hetsy deur aanhegting op ‘n prominente plek op die veilingperseel, alternatiewelik soos wat dit andersins bekend gemaak mag word aan die Koper.
- Ingeval die Koper nalaat en/of versuim om die volle koopprys van die goedere op die dag van die verkoping te betaal of op sodanige toepaslike tyd as wat die Afslaer mag aankondig, of nalaat en/of versuim om die goedere te verwyder of op enige ander wyse nalaat en/of versuim om sy verpligtinge kragtens hierdie terme en voorwaardes na te kom, sal die Koper enige en alle bedrae aan die Afslaer betaal verbeur aan die Afslaer en enige deposito deur die Koper betaal aan die Afslaer met betrekking tot die goedere sal verbeur word ten gunste van die Koper. Sodanige deposito sal geag word vooruitberekende en gelikwideerde skadevergoeding te wees ten opsigte van enige skade wat die Verkoper mag gelei het. Die Verkoper sal geregtig wees om sodanige goedere onmiddellik te herverkoop of op te veil sonder die nodigheid om enige kennis aan die Koper te gee.
- Die Afslaer sal ‘n retensiereg oor enige goedere hê vir enige bedrae betaalbaar deur die Koper aan die Afslaer.
- Ingeval dit vir die Afslaer nodig is om die goedere te herverkoop of op te veil en die netto opbrengs daarvan na verrekening van kommissie, fooie en kostes, minder is as die oorspronklike koopprys, sal die oorspronklike Koper onmiddellik op aanvraag aan die Afslaer as voorafbepaalde gelikwideerde skadevergoeding sodanige verskil inbetaal en waarteen enige bedrae wat hy verbeur het soos hierbo uitgesit, teen verreken sal word.
- Die Afslaer sal nie enigsins aanspreeklik wees teenoor die Koper vir enige verliese of skade gelei deur die Koper as gevolg van die kansellasie van die verkoping deur die Verkoper of die nalate of versuim deur die Verkoper om die tersaaklike goedere te lewer nie.
- Behalwe vir sover dit deur die Afslaer gestel mag word voor aanvang van die veiling, sal geen wysigings of veranderings aan hierdie voorwaardes enige krag of effek hê behalwe indien dit op skrif gestel en deur die Koper en die Afslaer onderteken is nie. Enige tegemoetkoming wat die Verkoper en/of die Afslaer mag betoon sal geskied sonder benadeling van die Verkoper en/of Afslaer se regte hierkragtens en sal dit nie as ‘n afstanddoening van die Verkoper en/of Afslaer se regte geïnterpreteer word nie en behou laasgenoemde die reg voor om enige en alle regte wat hulle teen die Verkoper mag bekom het, nou of in die toekoms af te dwing.
- Met betrekking tot die verkoop van motorvoertuie bevestig die Koper dat hy die voertuig besigtig het en kennis neem van alle besonderhede rakende die motorvoertuig (insluitende die naam en besigheidsadres van die Afslaer, kennis dat daar geen verpligting op die Afslaer/finansiële instelling/Verkoper rus om herstelwerk te doen nie, die voertuig se jaar van vervaardiging, jaar van eerste registrasie, vervaardiger, model, registrasienommer, enjinnommer, vinnommer, kilometerlesing en dat sodanig lesing nie gewaarborg word nie) welke inligting aangeheg is aan die motorvoertuig in ‘n dokumentvorm of andersins beskikbaar gemaak is aan die Koper in skriftelike vorm.
- Die Koper kies as domiclium citandi et executandi (die adres vir lewering van alle kennisgewings en dokumentasie rakende aangeleenthede voortspruitend uit hierdie terme en voorwaardes), die fisiese adres soos gereflekteer op die keersy hiervan of in enige ander dokument onderteken en oorhandig deur die Koper aan die Afslaer of Verkoper in verband met die goedere en/of die veiling.
- Die Koper stem toe tot die jurisdiksie van die Landdroshof maar behou die Verkoper en/of die Afslaer die reg voor om aksie in te stel in die Hoë Hof van Suid-Afrika. Ingeval dit nodig is vir die Verkoper of Afslaer om regstappe teen die Koper te neem, stem die Koper toe tot betaling van alle regskoste op skaal soos tussen prokureur en eie kliënt bereken teen die tarief wat deur die Verkoper of Afslaer betaalbaar is aan sy prokureur of by gebreke aan sodanige fooi ooreenkoms teen die tarief soos vasgestel kragtens die relevante hofreëls van die betrokke hof.
- Die Koper en Borg (indien van toepassing) sedeer, assigneer en maak hiermee oor aan en ten gunste van die Afslaer die Koper en/of Borg se reg titel en belang in en op alle vaste eiendom geregistreer in sy naam en/of alle roerende bates deur hom besit en/of waartoe hy geregtig is tot die mate as wat dit nodig is om sy verskuldigheid hierkragtens te vereffen. Die Koper en Borg stem toe dat sodanige vaste en roerende bates spesiaal uitwinbaar sal wees ten gunste van die Afslaer. Hierdie terme en voorwaarwaardes is deelbaar.
- Die Koper is die Koper wat die goedere by die veiling of andersins van die Afslaer gekoop het. Die Kopersheffing betaalbaar aan die Afslaer beteken die persentasie van die koopprys wat kragtens internasionale afslaersnorme betaalbaar is as ‘n persentasie van die koopprys van die goedere en sal bekend gemaak word in skriftelike vorm aangeheg op ‘n prominente plek op die afslaersterrein of sal op ‘n alternatiewe wyse aan die Koper geïdentifiseer word. Die Kopersheffing sal betaalbaar wees aan die Afslaer op die datum van die veiling.
- Die Koper en Borg bevestig en aanvaar dat daar geen verpligting op die Afslaer of die Verkoper sal wees om enige van die goedere te herstel nie en word dit verkoop in die vorm en toestand wat dit is.
- BORG: Die ondertekenaar van hierdie ooreenkoms/terme en voorwaardes verbind homself hiermee as borg en medehoofskuldenaar tesame met die maatskappy/beslote korporasie/trust/vennootskap/assosiasie/persoon/entiteit wat op die keersy hiervan verskyn as die koper vir behoorlike nakoming en betaling deur die Koper van al die Koper se verpligtinge teenoor en aan die Verkoper en/of Afslaer wat voortspruit uit die verkoping van enige goedere aan die Koper op die veiling of wat andersins deur die Afslaer verkoop is aan die Koper namens die Verkoper.
